Unifyr and Unifyr One terms

Version 2026-10-19.1 Β· 19 October 2026

1. Provider and application

Unifyr is provided by Aivantage B.V., Gallasplein 1, 3221 AB Hellevoetsluis, the Netherlands, Chamber of Commerce number 42042914. Contact for support, complaints and legal requests: sales@aivantage.nl.

These terms cover Unifyr, Unifyr One and their connections for businesses and consumers. A consumer is a natural person acting outside their trade or profession. These terms apply when made available before or when the relevant agreement is concluded and agreed upon. Creating another One does not retrospectively change an existing subscription's terms.

Individual agreements take precedence. The applicable data processing arrangements and privacy notice also apply. These specific terms prevail over previously agreed general Aivantage terms where they address the same matter differently. Mandatory consumer protection always applies; incompatible business provisions do not apply to consumers. Other matters are governed by law and separately agreed arrangements. Ticking a box cannot make an unfair term enforceable.

2. The service

Unifyr provides a workspace with AI, files and available connections. Unifyr One combines an AI agent with a managed virtual computer. UnifyrOS comprises our configured software environment and control software, including our own and third-party software. It does not mean that Aivantage developed every component.

Depending on selected models, tools, permissions and configuration, One can visit websites, read or create files, run software and act in connected services. Permitted tasks may run in the background or on a schedule. You can view progress, provide instructions, stop tasks and, where available, take control of the computer. Stopping does not undo actions already performed. Not every action requires a separate approval; a persistent permission may bypass subsequent confirmations.

Model availability and capabilities vary by workspace and may change within section 10. A virtual computer does not transfer ownership of hardware or provide unlimited capacity. You need a suitable device, a current supported browser or app and internet access. Your agreement and workspace configuration specify available models, storage, budget and permissions.

3. Access and authority

Use your own account, protect credentials and report suspected misuse promptly. Do not put passwords or verification codes in chat where a designated secure input is available. Only grant access to accounts, files and services you are authorised to use. Review workspace and One access and grant only necessary permissions.

A person acting for an organisation must have authority. An administrator setting up a One for another person does not waive that person's statutory consumer rights. The responsible user must be informed of the usage rules. Creating a One consumes an available slot; it does not itself purchase another subscription or slot.

4. Lawful use

Do not instruct One to act unlawfully. Prohibited uses include unauthorised access, malware, fraud, scams, prohibited discrimination, threats, unlawful surveillance, bypassing security without permission, unlawful disclosure of personal data and infringement of copyright or other rights. These rules also apply to indirect instructions and automated or scheduled tasks.

Comply with applicable law and connected services' terms. No instruction or permission in Unifyr replaces authorisation from a rights holder, data subject or competent authority. Do not use the service in regulated or high-risk applications without establishing suitability and the necessary safeguards first.

5. AI and human responsibility

AI can produce incorrect, incomplete or misleading answers and carry out instructions differently from what you intended. Results are not guarantees of accuracy, lawfulness or suitability. Websites and files may contain instructions designed to manipulate the agent. Limit permissions and review results and actions, especially payments, publications, communications, deletions and decisions about people.

You are responsible for your own instructions, permissions and checks reasonably expected of you. This is not a transfer of all liability to you. Aivantage remains responsible for its own failures, statutory obligations and the agreed quality of the service. The legal allocation of responsibility remains applicable.

A timeout or error does not prove an external action failed. Check the connected service before repeating a potentially duplicate instruction. Unifyr does not replace qualified medical, legal or financial assessment or emergency assistance.

6. Data, privacy and backups

Only place data on One that you may lawfully process and share with selected models, tools and services. Unifyr discourages storing unnecessary personal data on One or using it in instructions. Use anonymised data or fictional test data where possible. Establish appropriate legal grounds, minimise data and limit access and retention to what is necessary. Before using sensitive, special-category or criminal-offence data, establish that the configuration and agreements are suitable.

Instructions, files, screenshots and tool results may be sent to selected AI and other service providers. European machine hosting does not mean all processing takes place in Europe. The privacy notice and data processing arrangements describe applicable processing. Acceptance of these terms is not blanket GDPR consent and does not authorise unrestricted model training or independent reuse of your content.

One does not include an active, automatic backup or recovery service by default. Do not keep the only copy of important information on the machine. Make appropriate external backups or exports regularly and verify readability, including before cancellation. Infrastructure providers' technical copies are not a promised personal recovery service.

Your practical backup responsibilities do not limit Aivantage's security, recovery or other obligations under the GDPR, the agreement or mandatory law. Additional personal-data requirements must be covered by appropriate processing arrangements. Retention, statutory record keeping and third-party deletion are separate from termination of the virtual computer.

7. Availability and maintenance

Without a separate SLA, we do not promise uninterrupted availability, a fixed uptime percentage, a fixed recovery time or retention of a particular machine. Maintenance, faults, capacity issues, security measures and third-party dependencies may require interruption, restart or replacement. Without additional arrangements, do not rely on One as the sole facility for time-critical or safety-critical processes.

We undertake to provide the service with due care, use appropriate security, address faults and provide legally and contractually required updates. Where reasonably possible, we give advance information about foreseeable substantial interruptions. This provision does not exclude statutory conformity, repair, price reduction, termination or compensation rights.

8. Price, budget and payment

Before purchase, the offer and order confirmation specify price, duration, renewal, billing period, included slots and extras. Consumers must be shown the total payable price including applicable taxes. These terms alone do not impose additional charges that were not clearly agreed.

A One within an available slot is not a separate purchase. AI and tool usage may consume the workspace budget or agreed balance. Check budgets and permitted models, including for scheduled tasks. Exhausted budgets may prevent further execution. Payments, upgrades and extra capacity require the designated ordering procedure. Acceptance when creating a One is not authorisation for unlimited further purchases.

Cancelling One stops that instance's renewal on the displayed end date; it does not automatically change the workspace subscription or paid extra slots. Use separate subscription settings or contact support for those changes. Statutory refund rights remain intact.

9. Consumer withdrawal

Consumers generally have fourteen days to withdraw from a distance service agreement, starting when it is concluded. Send an unambiguous statement to sales@aivantage.nl; the model below is optional. We acknowledge receipt and make required refunds within the statutory deadline, generally fourteen days after receiving withdrawal, using the original payment method.

Creating One within an existing subscription does not restart an existing withdrawal period. Creating One does not waive withdrawal rights. Any legally required request for paid delivery during the withdrawal period is handled separately at the relevant purchase. A proportionate amount for services supplied during the withdrawal period is due only if all legal conditions are met, including advance information and an express request to start. Without those conditions no such charge is claimed. Starting a machine does not fully perform an ongoing subscription.

Any statutory exception applicable to a particular separate purchase must be explained correctly at that purchase and, where required, separately confirmed. One's checkboxes are not blanket permission to apply exceptions.

Model statement: β€œTo Aivantage B.V., Gallasplein 1, 3221 AB Hellevoetsluis, the Netherlands, sales@aivantage.nl. I hereby withdraw from our agreement for the following service: … Ordered on: … Consumer name: … Consumer address: … Date: … Signature, only for a paper statement: …”

10. Changes and updates

We may perform necessary security and maintenance updates. Other changes must fit the agreement and have a valid reason, such as technology, security or legislation. A materially adverse change is not silently added to an existing agreement through another checkbox. Where required by law, we inform you beforehand on a durable medium about the change, effective date and right to terminate without charge. Statutory rights concerning digital-service changes remain intact.

New terms do not automatically apply retrospectively. Price changes and renewals follow agreed, lawful procedures. Consumers are not subjected to a new fixed term through automatic renewal where prohibited by law.

11. Cancellation, export and deletion

One's cancellation settings display its end date. On ordinary cancellation, One remains available until that date unless restricted for another valid reason. From that date its machine is scheduled for deletion. Export your information beforehand. Ordinary cancellation procedures cannot obstruct statutory withdrawal, termination for breach or other mandatory rights; contact support directly where necessary.

Deletion removes access to the environment and its contents. Recovery is not promised. Records retained by law, elsewhere in the platform or by third parties are handled under applicable retention rules and obligations. Removal of a machine does not prove every copy everywhere has been erased.

Where law entitles you to retrieve content you supplied or created, we cooperate under the applicable conditions, free of charge and in a commonly used machine-readable format where required. Revoking a connection or cancelling does not undo external actions or automatically terminate third-party contracts.

12. Misuse, restrictions and complaints

For actual misuse, security incidents, breach or legal obligations, we may take appropriate, proportionate measures including temporary restriction. Where reasonable and permitted we explain the reason and offer a chance to remedy or challenge it; urgent circumstances may require immediate action. An automated suspicion is not a general licence for arbitrary permanent deletion.

Submit complaints through support or sales@aivantage.nl with a brief description and time, omitting unnecessary personal data and secrets. We handle complaints carefully and provide progress information. This internal route does not restrict access to the legally competent court.

13. Rights and open source

You retain rights in your own content. We receive only rights needed to deliver the agreed service. Third-party rights may apply to source material, models and results. Exclusivity or copyright in AI output is not guaranteed.

Unifyr includes third-party software. The Software & licences page lists components, original attribution, licence texts and available source references. Each component's own licence applies. These terms do not restrict rights granted by those licences. Attribution does not imply sponsorship or endorsement. Original authors' open-source warranty disclaimers do not replace Aivantage's obligations to its customers.

14. Liability and applicable law

Statutory rules on breach, attribution, causation, damage and contributory fault apply. These terms do not generally exclude liability for Aivantage's failures, its assistants, intent or conscious recklessness. Backup, AI and availability notices do not remove consumers' statutory rights. Separate business arrangements apply only where validly agreed and lawful.

Dutch law applies. Consumers retain the mandatory protection of the law that would apply without that choice. The court competent under applicable law has jurisdiction; no exclusive business forum is imposed on consumers.
